These Terms of Service ("Terms", "Terms of Service", or "Agreement") govern the legally binding relationship between you and https://www.convertsave.com (the "Site") and the ConvertSave desktop software (the "Software") operated by Pixel & Bracket LLC ("us", "we", or "our").

Your access to and use of the Site and Software (collectively, the "Services") is based on your acceptance of and compliance with these Terms.

These Terms apply to all visitors, users, customers, free trial users, and others who access or use the Services. By using the Services, you confirm that you are at least 18 years of age (or that you are using the Services only with the approval of your parent or guardian), and that you are legally able to enter into this Agreement.

Your use of the Services is also subject to our Privacy Policy (https://www.convertsave.com/privacy-policy), incorporated into these Terms by reference.

By accessing and using these Services, you expressly accept and agree to be legally bound to these Terms. If you do not agree to these Terms, in whole or in part, do not use the Services.

1. Definitions

For the purposes of these Terms of Service:

  • "Terms" or "Agreement" mean these Terms of Service that form the entire agreement between you and Pixel & Bracket LLC regarding the use of the Services.
  • "Services" refers collectively to (a) the website https://www.convertsave.com (the "Site") and (b) the ConvertSave desktop software (the "Software").
  • "Site" refers to the ConvertSave website https://www.convertsave.com.
  • "Software" refers to the ConvertSave desktop software, whose purpose is a file conversion application.
  • "Fees" refers to the costs associated with the purchase and on-going use of the Software, including, without limitation, one-time payments and recurring subscriptions.
  • "Order" refers to orders for a specific subscription or one-time payment placed by you by an online form.

2. Changes

Pixel & Bracket LLC reserves the right, in our sole discretion, (a) to make changes or modifications to these Terms, and (b) to modify, suspend, or discontinue any feature, functionality, or availability of the Services at any time and for any reason without notice.

Continued use of the Services after such changes take effect constitutes your acceptance of the modified Terms or Services. Each time you use the Services, the current version of these Terms will apply.

3. Software License

The Software is licensed, not sold. Subject to your payment of all applicable Fees and compliance with these Terms, Pixel & Bracket LLC grants you a revocable, non-exclusive, non-sublicensable, non-transferable license to download, install, and use the Software solely for your personal use and authorized purposes. All rights not expressly granted to you herein are reserved by Pixel & Bracket LLC.

Pixel & Bracket LLC does not transfer either the title or the intellectual property rights to the Software and Pixel & Bracket LLC retains full and complete title to the Software as well as all intellectual property rights therein.

3.1 License Duration

You may obtain a license from us to use the Software on a fixed term basis ("Subscription(s)") or on a perpetual basis ("One-Time Payment").

3.2 License Redemption

Each purchase of the Software allows a maximum of three (3) license redemptions for the duration of the term as specified in the Order. A license redemption allows installation of the Software on a single device.

4. Subscriptions and Payment

Prior to accessing or using the Software, you shall pay to Pixel & Bracket LLC all Fees required to be paid by you for the license granted under these Terms. The specific payment mechanics shall be determined solely by Pixel & Bracket LLC and set forth in the applicable Order, or at the point of purchase.

You agree that your decision to purchase, use, or access the Software is not contingent on the delivery of any future functionality or features, or dependent on any public comments made by Pixel & Bracket LLC regarding future functionality or features.

In the event of any inconsistency or conflict between the Terms of Service and the terms of any Order, the Terms of Service shall prevail.

4.1 Purchase Types

The One-Time Payment is billed in advance and covers all future versions and updates during the Software's lifetime. No further payments will be due unless you choose to purchase additional licenses.

Subscriptions are billed in advance on a recurring and periodic basis ("Billing Cycle(s)"). Billing Cycles are set on a regular basis, typically monthly or yearly.

At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or Pixel & Bracket LLC cancels it. For any questions regarding Subscription, cancellation, or otherwise regarding the fees charged by Pixel & Bracket LLC, please contact us by email at team@convertsave.com.

4.2 Payment Information

A valid payment method, including credit card, is required to process the payment for your Subscription or One-Time Payment. You shall provide Pixel & Bracket LLC or its third-party payment processor, with accurate and complete billing information and valid payment method information. By submitting such payment information, you automatically authorize Pixel & Bracket LLC to charge all Subscription or One-Time Payment fees incurred through your account to any such payment methods.

You further agree to be responsible for all taxes associated with the Software, along with any transaction fees and currency conversions added by your financial institution and intermediaries. All amounts are in US Dollars.

You agree that the information that you provide to us at purchase and at all other times will be true, accurate, current and complete. You also agree that you will ensure that this information is kept accurate and up to date at all times.

You are responsible for maintaining the confidentiality of your account information.

4.3 Refunds

While all amounts paid are non-refundable, certain refund requests may be considered by Pixel & Bracket LLC on a case-by-case basis and granted at our sole discretion.

4.4 Price Changes

Pixel & Bracket LLC, in our sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

Pixel & Bracket LLC will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

4.5 Free Trial

Pixel & Bracket LLC may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial").

You are allowed one (1) Free Trial per device. Pixel & Bracket LLC reserves the right to refuse registration and/or terminate any account that attempts to circumnavigate the Free Trial limits.

You may be required to enter your billing information in order to sign up for the Free Trial.

If you do enter your billing information when signing up for the Free Trial, you will not be charged by Pixel & Bracket LLC until the Free Trial has expired. On the last day of the Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.

At any time and without notice, Pixel & Bracket LLC reserves the right to (a) modify the terms and conditions of the Free Trial offer, or (b) cancel such Free Trial offer.

5. Use Restrictions

You agree not to, and you will not permit others to:

  • Copy, modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the Software or any part thereof.
  • Distribute, transfer, sublicense, lease, lend, or rent the Software to any third party.
  • Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Services or any part thereof.
  • Remove, alter, or obscure any proprietary notices on the Software.
  • Use the Software in any manner that could damage, disable, overburden, or impair the Software.
  • Use the Software to create or distribute any malicious software or in violation of any law, regulation, or third-party rights.
  • Distribute or sell Software license keys. Any distribution, transfer, or sale made in violation of the requirements, conditions, or restrictions of this section will be void and may result in termination of this agreement.
  • Exceed the maximum of three (3) license redemptions per purchase. Each license redemption allows installation on a single personal device.

6. Data Collection

Web cookies and tracking technologies may be used for Site functionality, analytics, and advertising measurement. This includes, but is not limited to, Google Analytics for conversion tracking and Site performance measurement.

We collect your name, email, unique device identifier, and payment information as part of providing our Services. For details, see our Privacy Policy (https://www.convertsave.com/privacy-policy).

6.1 License Compliance

Pixel & Bracket LLC collects information for license verification and piracy prevention, including the number of device installations of the Software, through a license validation system which may be sent to a Pixel & Bracket or third-party server for storage or further processing by Pixel & Bracket LLC or its vendors that provide license compliance services. Such information shall include the unique device identifier, the Software license keys installed, and the start date and end date of the associated license term, whether Subscription or One-Time Payment.

Your use of the Software requires connection to the internet in order to confirm the validity of your Subscription. In the event more than two (2) days has passed from the end of the Subscription term, and the Software has been unable to verify the validity of your Subscription, access to the Software will be disabled until the device it is installed on has connected to the internet and confirmed the validity of your Subscription.

The Software is designed to prevent unauthorized use and copying. Failure to follow the validation, installation, or license management process for the Software may result in preventing the use of the Software.

7. Warranty Disclaimer

Pixel & Bracket LLC disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, regarding the Software. The Software is provided "as is" and with all faults and defects without warranty of any kind. You bear the entire risk as to selecting the Software for your purposes and as to the quality and performance of the Software.

Pixel & Bracket LLC does not warrant that its Software will meet your business requirements or that it will be safe, secure, uninterrupted or error-free. Pixel & Bracket LLC is not responsible to you for any damage or loss of any kind resulting from your use of or inability to access or use the Software, including damage to your property (including your computer system or mobile device used in connection with the Software) or loss or corruption of data.

8. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend and hold harmless Pixel & Bracket LLC, and its affiliates (collectively "Parties") from and against any and all actual, threatened, or alleged claims, demands, proceedings, hearings, actions, damages, awards, judgments, penalties, fines, costs, losses, expenses, and liabilities (including reasonable attorneys' fees and court costs) of any kind, whether direct, indirect, incidental, consequential, special, exemplary, or punitive, that are caused by, arise out of, relate to, or result from: your use or misuse of the Services, your violation of these Terms, your violation of any third-party rights, or your negligence of willful misconduct.

Without limiting the foregoing, you agree to indemnify, defend, and hold harmless the Parties from and against any third-party claims or demands arising out of or related to your use of third-party formats, codecs, or containers, including any allegation of unlicensed use or non-payment of royalties or fees.

9. Limitation of Liability

You are solely responsible for how the Software is accessed and used on your device. This includes ensuring the integrity of your device settings, system permissions, and any access restrictions related to the use of the Software.

Pixel & Bracket LLC shall not be liable for any loss of data, functionality, or performance issues arising from misconfigured settings, unauthorized use, or your failure to properly manage access to your device.

Under no circumstances, including, but not limited to, negligence, shall Pixel & Bracket LLC be liable for any special or consequential damages that result from the use of, or the inability to use, the Services, even if Pixel & Bracket LLC or its representative has been advised of the possibility of such damages.

In no event shall Pixel & Bracket LLC's total liability to you from all damages, losses, and causes of action (whether in contract, or otherwise) exceed the amount you paid to Pixel & Bracket LLC, if any, for products purchased on this Site.

You are responsible and liable for all uses of the Services resulting from access provided by you, whether directly or indirectly, whether authorized or unauthorized. Specifically, and without limiting the generality of the foregoing, you are responsible and liable for all actions and failures to take required actions with respect to the Services by any other person who accesses or uses the Services through you or your account, whether such access or use is permitted by or in violation of these Terms.

10. Intellectual Property Rights

The Services and all contents, including but not limited to text, images, graphics or code are the property of Pixel & Bracket LLC and are protected by copyright, trademarks, database and other intellectual property rights. These Terms do not grant you a license to use any trademark of Pixel & Bracket LLC or its affiliates. You further agree not to use, change or delete any proprietary notices from materials downloaded from the Site.

You acknowledge and agree that the Software is provided under license, and not sold, to you. You do not acquire any ownership interest in the Services or any other intellectual property or confidential information of Pixel & Bracket LLC, including, but not limited to, trademarks, trade secrets, and copyright, under these Terms, nor any other rights thereto, other than the limited right to use the Software in accordance with the license granted and subject to all terms, conditions, and restrictions under this Agreement.

Pixel & Bracket LLC reserves and shall retain its entire right, title, and interest in and to the Services and any and all registered and unregistered rights granted, applied for, or otherwise now or hereafter in existence under or related to any patent, copyright, trademark, trade secret, database protection, or other intellectual property rights laws, and all similar or equivalent rights or forms of protection, in any part of the world arising out of or relating to the Services, except as expressly granted to you in these Terms. You shall take the necessary measures to safeguard all Services from infringement, misappropriation, theft, misuse, or unauthorized access.

All feedback, suggestions, and ideas provided by you relating to the Services, and all intellectual property rights associated with such feedback are the exclusive property of Pixel & Bracket LLC, and you irrevocably assign all proprietary interests to Pixel & Bracket to the extent you acquire any such proprietary interests. Pixel & Bracket LLC may use such feedback without any obligation or compensation to you.

Pixel & Bracket LLC does not and will not make any claim of copyright ownership related to your media or assert any right to royalties in relation to your media.

11. Term and Termination

The term of this Agreement commences when you first access the Services and will continue in effect until terminated as set forth herein. Your right to access the Software is contingent on an active, fully paid Subscription or One-Time Payment.

The term for these Subscriptions will automatically renew for successive periods unless terminated by either party for any reason. Upon expiration or termination of your Subscription, your right to access and use the Software ceases immediately, and all Fees paid are non-refundable.

This agreement will automatically terminate, without notice, if you fail to comply with any material term or condition, and Pixel & Bracket LLC reserves the right, in our sole discretion, to immediately suspend or revoke your access to the Software in the event of any breach.

Pixel & Bracket LLC may also terminate this agreement for its convenience at any time upon written notice. Upon termination, the license granted will immediately terminate, you shall no longer exercise any rights granted under these Terms, and you must promptly delete and permanently destroy all copies of the Software in your possession or control.

11.1 Survival

The conditions, restrictions and obligations as contained in these Terms shall survive any expiration, termination or cancellation of this agreement, and shall continue and remain in effect to bind you, your authorized users, and any employees, agents, successors, heirs and assigns to the extent necessary to fulfill their essential purposes.

12. Governing Law and Jurisdiction

These Terms and any disputes arising out of or in connection with will be governed by and construed in accordance with the laws of the State of Indiana, U.S.A to the extent that U.S. federal laws are not applicable, without regard to their conflicts of law principles. You agree to the exclusive jurisdiction of the Courts of the State of Indiana, U.S.A.

13. Third-Party Materials

The Services may contain links to third-party web sites or services that are not owned or controlled by Pixel & Bracket LLC.

Pixel & Bracket LLC has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Pixel & Bracket LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

13.1 Third-Party Tools

The Services may use or include open-source software, content, data, or other materials, including related documentation, that are owned by persons other than Pixel & Bracket LLC ("Third-Party Tools") and that are installed by you on terms ("Third-Party Licenses") that are in addition to and/or different from those contained in this Agreement.

A list of any such Third-Party Tools, if applicable, and their corresponding Third-Party Licenses may be identified on Schedule A to this Agreement or otherwise made available by Pixel & Bracket LLC through other reasonable means (including online links or documentation), in our sole discretion.

13.2 Third-Party License Compliance

You are bound by and shall comply with all Third-Party Licenses. Any breach by you of any Third-Party License shall be deemed a breach of this Agreement.

The use of such Third-Party Tools is governed by their respective terms and conditions and nothing in this Agreement limits your rights or grants any rights that supersede the terms and conditions of any such applicable Third-Party Licenses.

All Third-Party Tools are provided "as is" and "as available" without warranty of any kind. Pixel & Bracket LLC disclaims all responsibility and liability with respect to the Third-Party Tools, including without limitation all warranties (express, implied, statutory, or otherwise). You expressly waive and agree not to bring any claim against Pixel & Bracket LLC arising out of or relating to the Third-Party Tools.

14. Miscellaneous

14.1 Force Majeure

In no event shall Pixel & Bracket LLC be liable to you, or be deemed to have breached this Agreement, for any failure or delay in performing its obligations under this Agreement, if and to the extent such failure or delay is caused by any circumstances beyond its reasonable control, including, but not limited to: (i) acts of God; (ii) flood, fire, earthquake, explosion, or other potential disasters or catastrophes, such as epidemics; (iii) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (iv) government order, law, or actions; (v) embargoes or blockades in effect on or after the date of this Agreement; (vi) national or regional emergency; (vii) strikes, labor stoppages or slowdowns, or other industrial disturbances; (viii) shortage of adequate power or transportation facilities; (ix) a cyberattack or virus; and (x) due to Third-Party Tools or other actions of third parties.

14.2 Export Formats and Codecs

The Software or Third-Party Tools may enable export to, or interoperability with, third-party formats, codecs, or containers. Pixel & Bracket LLC does not grant you any intellectual property rights in such formats, codecs, or containers. You are solely responsible for ensuring you have all rights, permissions, and licenses necessary to encode, decode, transcode, distribute, or otherwise use any such formats, codecs, or containers, and for paying any associated royalties or fees. By enabling or selecting these outputs, you represent and warrant that you possess the necessary rights to do so and that your use complies with applicable law and Third-Party Licences.

14.3 Hardware

Pixel & Bracket LLC makes no representations or warranties regarding the performance, compatibility, or suitability of your hardware with the Software. Except to the extent that liability cannot be excluded under applicable law, Pixel & Bracket LLC shall not be liable for any degradation of performance, malfunctions, or damage to hardware arising from your installation or use of the Software.

Schedule A: Third-Party Licenses

Nothing in these Terms is intended to limit your rights under applicable open-source licenses governing Third-Party Tools. The following materials are optionally installed by you and are governed by Third-Party Licenses:

FFmpeg is licensed under the GNU Lesser General Public License (LGPL) version 2.1 or later. FFmpeg may incorporate several optional parts and optimizations that are covered by the GNU General Public License (GPL) version 2 or later. If those parts get used the GPL applies to all of FFmpeg.
